Terms of Service

GBPMax provides done-for-you Google Business Profile management services for local businesses. Services may include profile updates, service and category support, photo management, Google posts, review requests, review response support, performance summaries, and related recommendations.

GBPMax is a managed service provider. Unless we separately agree in writing, clients do not receive access to proprietary GBPMax software, internal systems, or operational tools. We deliver completed work, recommendations, and updates rather than a separate client software account.

You may use GBPMax only if you are at least 18 years old and have authority to act on behalf of the business you submit or enroll. If you provide access to a Google Business Profile, website, brand asset, customer review, photo, or business account, you represent that you have the right to provide that access or content to GBPMax for service delivery.

You are responsible for providing accurate business information, timely approvals, necessary access, usable photos or brand assets when requested, and truthful service-area and service-offering details. You are also responsible for complying with applicable laws, advertising rules, professional standards, Google policies, and any platform rules that apply to your business.

GBPMax may recommend profile updates, posts, review workflows, or other actions, but you remain responsible for the legality, accuracy, and appropriateness of your business claims, offers, credentials, services, and customer communications.

Service fees, billing cadence, deliverables, and payment terms will be described in the applicable proposal, checkout page, invoice, statement of work, or written agreement. Unless stated otherwise, recurring services are billed in advance for the service period. Late, failed, or disputed payments may result in delayed work, paused service, or termination.

Taxes, platform fees, advertising spend, photography costs, printing costs, premium tools, or third-party charges are not included unless expressly stated in writing.

GBPMax works on the parts of your Google Business Profile we can manage, but Google rankings and customer behavior depend on many factors outside GBPMax’s control. We do not guarantee specific ranking positions, map pack placement, calls, direction requests, website clicks, reviews, bookings, sales, or revenue.

GBPMax services depend in part on third-party platforms, including Google Business Profile and related Google services. These platforms may change rules, interfaces, ranking systems, access permissions, review policies, data availability, or account status at any time. GBPMax is not responsible for third-party outages, restrictions, suspensions, profile removals, algorithm changes, review filtering, or platform decisions outside our control.

You retain ownership of your pre-existing business materials, brand assets, photos, and approved client content. You grant GBPMax a limited right to use those materials as needed to provide services. GBPMax retains ownership of its internal processes, templates, frameworks, strategy documents, systems, copy structures, and operational methods unless a written agreement states otherwise.

GBPMax may create posts, descriptions, responses, reports, recommendations, and related work product for your business. Upon full payment, you may use final delivered work product for your business purposes, subject to third-party platform rules and any limitations in a separate agreement.

Each party may receive non-public business information from the other. Both parties agree to use reasonable care to protect confidential information and to use it only for the business relationship, unless disclosure is required by law, authorized in writing, or necessary for service delivery through approved providers.

You may not use GBPMax to submit false business information, impersonate another business, manipulate reviews, violate Google policies, publish unlawful or misleading claims, infringe third-party rights, send spam, upload malicious files, or request work that GBPMax reasonably believes is deceptive, harmful, illegal, or inconsistent with platform rules.

GBPMax may suspend or terminate services if you fail to pay, revoke necessary access, provide inaccurate information, request prohibited work, violate these Terms, or create legal, reputational, operational, or platform risk. You may cancel according to the applicable proposal, invoice, written agreement, or the Refund & Cancellation Policy posted on this site.

The website and services are provided on an as-is and as-available basis. To the fullest extent permitted by law, GBPMax disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. GBPMax will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, lost data, or platform decisions.

To the fullest extent permitted by law, GBPMax’s total liability for any claim relating to the website or services will not exceed the amount you paid to GBPMax for the specific service giving rise to the claim during the three months before the event giving rise to the claim.

You agree to defend, indemnify, and hold GBPMax harmless from claims, damages, liabilities, costs, and expenses arising from your business information, your content, your instructions, your violation of law or platform rules, your breach of these Terms, or your misuse of the website or services.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in Santa Clara County, California, unless applicable law requires otherwise.

GBPMax may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the website or services after an update means you accept the revised Terms.
